These Terms of Service govern your access to and use of www.speakeasyjewelry.co, as well as purchases, inquiries, consultations, custom projects, and other transactions with The Speak Easy Jewelry Co Inc., doing business as The Speak Easy Co.

Throughout these Terms, “The Speak Easy Co,” “we,” “us,” and “our” refer to The Speak Easy Jewelry Co Inc. “You” and “your” refer to any visitor, customer, client, purchaser, or person submitting an inquiry through our website or working directly with our team.

By accessing our website, submitting an inquiry, approving a design or estimate, making a payment, signing a purchase agreement, or completing a purchase, you agree to these Terms and any policies or transaction-specific documents incorporated into them.

If you do not agree with these Terms, please do not use our website or services.

1. OUR BUSINESS AND SERVICES

The Speak Easy Co is an independent jewelry company offering:

  • Custom jewelry design and production

  • Custom engagement rings and bridal jewelry

  • Fine jewelry and ready-to-ship merchandise

  • Natural and lab grown diamonds

  • Gemstone and precious-metal sourcing

  • Heirloom redesign and personalized projects

  • Independent luxury watch sourcing through the secondary market

  • Private Downtown Tampa consultations by appointment

  • Remote consultations and insured delivery arrangements nationwide

Certain products may be purchased directly through our website. Custom jewelry, luxury watches, trades, special orders, and some high-value transactions require direct consultation and may be governed by a written estimate, invoice, approval record, or purchase agreement.

2. ELIGIBILITY AND LAWFUL USE

You must be at least the age of majority in your jurisdiction to make a purchase or enter into a binding transaction with us.

You agree to use our website and services only for lawful purposes. You may not use the website to commit fraud, submit false information, infringe intellectual-property rights, transmit malicious code, interfere with website security, or engage in unlawful conduct.

We may decline or cancel a transaction when reasonably necessary because of suspected fraud, payment risk, product unavailability, pricing errors, unlawful activity, abusive conduct, or another legitimate business concern.

3. PRODUCT INFORMATION AND AVAILABILITY

We make reasonable efforts to present products, materials, dimensions, colors, weights, gemstones, diamonds, watch conditions, and other details accurately.

However:

  • Colors and proportions may appear differently across screens.

  • Photographs, videos, CAD renderings, and illustrations may not perfectly represent the finished item.

  • Carat weights, metal weights, measurements, and dimensions may be approximate.

  • Handmade and custom-finished pieces may contain reasonable variations.

  • Gemstones and natural materials may vary in color, pattern, inclusions, and appearance.

  • Product availability and current market pricing may change without notice.

A website listing, advertisement, social-media post, estimate, or verbal discussion does not guarantee availability. An item is not reserved until the applicable payment, deposit, or purchase-agreement requirements have been satisfied.

4. DIAMONDS, GEMSTONES, AND PRECIOUS METALS

We disclose whether a diamond is represented as natural or lab grown before the applicable purchase or production approval.

Diamond and gemstone characteristics may be supported by available grading reports, laboratory documentation, appraisal information, supplier documentation, or our professional evaluation, depending on the item.

Grading reports are professional opinions issued by the applicable laboratory. Slight differences may occur between laboratories, graders, mounted-stone evaluations, or later examinations.

Precious-metal descriptions identify the represented metal and purity, subject to normal manufacturing tolerances and applicable hallmarking standards.

The Speak Easy Co is led by a GIA Graduate Gemologist. References to GIA education describe professional training and do not imply that GIA sponsors, endorses, or guarantees The Speak Easy Co or any particular transaction.

5. CUSTOM JEWELRY AND SPECIAL ORDERS

Every custom project begins with consultation, design direction, specifications, pricing, and approval.

Depending on the project, your approval may include:

  • Design concepts or CAD renderings

  • Dimensions and proportions

  • Precious-metal type and purity

  • Natural or lab grown diamond selection

  • Gemstone selection

  • Stone sizes, quantities, and placement

  • Engraving, spelling, dates, initials, or other personal details

  • Estimated pricing

  • Estimated production timing

  • Deposit and payment requirements

You are responsible for reviewing these details carefully before approving production. Approval provided by email, text message, electronic signature, invoice payment, or another documented method may be treated as authorization to proceed.

Changes requested after approval may require additional design work, materials, labor, pricing, and production time. Some changes may not be possible once manufacturing has begun.

Production timelines are estimates, not guaranteed delivery dates. Complexity, revisions, material availability, laboratory services, shipping delays, or circumstances outside our control may affect completion.

Custom jewelry, personalized merchandise, special orders, modified items, and made-to-order pieces are final sale except where otherwise agreed in writing or required by law.

Deposits and progress payments become non-refundable once design work, sourcing, material procurement, or production has begun, subject to the written purchase agreement, our Return and Refund Policy, and applicable law.

6. CUSTOM DESIGN FILES AND CLIENT-SUPPLIED MATERIALS

Unless expressly transferred in writing, The Speak Easy Co and its production partners retain ownership of working files, manufacturing files, CAD files, molds, models, renderings, production methods, and other materials created while developing a custom project.

Purchasing a finished piece does not automatically transfer ownership of these underlying files or manufacturing assets.

If you provide a logo, photograph, artwork, design, trademark, or other material, you represent that you own it or have permission to use it. We may decline a project that appears to violate another party’s intellectual-property rights.

Inspiration images may be used to communicate general style and preferences, but we may modify a concept to preserve originality, craftsmanship, wearability, or intellectual-property compliance.

7. LUXURY WATCHES AND INDEPENDENT RESELLER NOTICE

The Speak Easy Co operates as an independent luxury watch reseller and sourcing service.

We are not an authorized dealer for Rolex or any other watch brand. We are not affiliated with, endorsed by, sponsored by, or authorized by Rolex or any other watch manufacturer.

All brand names, trademarks, reference numbers, and model names are used solely for identification. They remain the property of their respective owners.

Luxury watches are sourced through the secondary or open market and may include unworn-condition, preowned, vintage, customized, or otherwise disclosed examples.

“Unworn-condition” does not mean that a watch is being sold as new by an authorized dealer. Condition, included accessories, boxes, warranty cards, service history, ownership history, documentation, modifications, and aftermarket components vary by watch and will be disclosed based on the information reasonably available to us.

Luxury watches are:

  • Inquiry-only

  • Not available through standard website checkout

  • Not processed through Shopify Payments

  • Subject to direct confirmation of availability

  • Subject to current market pricing

  • Completed by bank wire unless otherwise agreed in writing

  • Governed by a written purchase agreement when required

A watch quote does not reserve the watch. Availability and price are not final until confirmed directly by our team and the required purchase steps are completed.

All luxury watch sales are final except where otherwise stated in the applicable purchase agreement or required by law.

8. BANK-WIRE TRANSACTIONS

Luxury watches and certain high-value transactions may require payment by bank wire.

Wire instructions should be confirmed using verified contact information from our website or written purchase agreement. Do not rely solely on payment instructions contained in an unexpected email, text message, or message from an unfamiliar account.

You are responsible for confirming the accuracy of the recipient name, bank, account number, and routing information before sending funds.

A transaction is not considered paid until funds have been received and cleared. Orders may be delayed, declined, or canceled if payment cannot be verified.

9. WRITTEN PURCHASE AGREEMENTS

Custom projects, luxury watches, trades, special orders, and other high-value transactions may require a written purchase agreement.

The purchase agreement may address:

  • Product or project specifications

  • Condition and documentation

  • Pricing and payment terms

  • Deposit requirements

  • Final-sale terms

  • Inspection or approval requirements

  • Shipping and delivery

  • Insurance

  • Trade-in terms

  • Estimated production or sourcing time

  • Disclosures specific to the transaction

If a transaction-specific purchase agreement conflicts with these general Terms, the purchase agreement controls for that particular transaction. All provisions that do not conflict remain in effect.

Electronic signatures, email approvals, text-message approvals, invoice payments, and other documented electronic actions may be treated as legally binding acceptance where permitted by law.

10. PAST PROJECTS AND PORTFOLIO PIECES

Past-project listings, portfolio images, social-media posts, and completed custom pieces are displayed to demonstrate our capabilities and provide design inspiration.

Unless expressly identified as available:

  • A past project is not being offered as the original item for sale.

  • The original materials or exact stones may no longer be available.

  • A similar project may require different dimensions, materials, construction, or pricing.

  • Any displayed price may represent the original project value rather than a current quote.

We may be able to create a new piece inspired by a past project, but every new commission is quoted based on current materials, labor, specifications, availability, and market conditions.

11. PRICING, ESTIMATES, AND PAYMENT

Prices are shown in U.S. dollars unless otherwise stated.

Website prices, quotes, and estimates may change because of precious-metal markets, diamond or gemstone availability, watch-market conditions, supplier pricing, design revisions, or errors.

Custom estimates remain valid only for the period stated in writing. If no validity period is provided, pricing must be reconfirmed before payment or production.

You agree to provide accurate billing, shipping, contact, and payment information. You are responsible for applicable taxes, duties, brokerage fees, import charges, and other governmental assessments unless expressly included.

We may correct typographical, pricing, product-description, or availability errors. If a material error affects an accepted order, we will contact you before proceeding whenever reasonably possible.

12. TRADES AND ITEMS OFFERED TO US

If you offer a watch, jewelry item, diamond, gemstone, or other property for sale or trade, you represent that:

  • You are its lawful owner or are authorized to act for the owner.

  • The item is not stolen, fraudulently obtained, or subject to an undisclosed lien or claim.

  • Information you provide about authenticity, condition, service history, modifications, documentation, and ownership is accurate to the best of your knowledge.

  • You will disclose known damage, replacement parts, treatments, enhancements, or alterations.

Any initial estimate is conditional upon physical inspection, authentication, and final approval. We may revise or withdraw an offer if the item differs from the information originally provided.

Additional terms may be included in a trade or purchase agreement.

13. APPRAISALS, GRADING REPORTS, AND DOCUMENTATION

Documentation varies by item and transaction.

Depending on the purchase, available documentation may include:

  • A diamond or gemstone grading report

  • A third-party appraisal

  • A sales receipt or invoice

  • A watch warranty card or service record

  • A written purchase agreement

  • Manufacturer, laboratory, or supplier documentation

When requested sufficiently in advance and when scheduling permits, we may arrange or include an appraisal for an eligible purchase. An appraisal is not guaranteed unless expressly confirmed in writing.

An appraisal generally reflects an opinion of replacement value as of its stated date. It is not a guarantee of resale value, investment performance, future appreciation, insurance acceptance, or the amount another buyer may pay.

Jewelry, watches, diamonds, and gemstones should not be purchased based on an expectation of profit or guaranteed appreciation.

14. SHIPPING AND DELIVERY

Shipping and delivery are governed by our Shipping Policy and any transaction-specific purchase agreement.

High-value shipments may require:

  • An adult signature

  • Identification

  • Address verification

  • Hold-for-pickup service

  • Delivery to an approved carrier location

  • Additional insurance or security procedures

You are responsible for providing an accurate and secure delivery address. Address changes may require renewed verification and may not be possible after shipment processing begins.

International customers are responsible for applicable duties, taxes, customs charges, brokerage fees, and import requirements unless otherwise agreed in writing.

Delivery estimates are not guaranteed. Carrier delays, weather, customs, security reviews, incorrect address information, or other circumstances outside our control may affect delivery.

15. RETURNS, REFUNDS, AND CANCELLATIONS

Returns, refunds, exchanges, cancellations, final-sale terms, and restocking fees are governed by our Return and Refund Policy and any applicable purchase agreement.

In general:

  • Luxury watch sales are final.

  • Custom jewelry and personalized orders are final.

  • Deposits become non-refundable once work, sourcing, or procurement begins.

  • Eligible non-custom jewelry must satisfy the stated return window and condition requirements.

  • Certain categories are excluded from return for hygiene, customization, sourcing, or value-protection reasons.

Nothing in these Terms eliminates consumer rights that cannot legally be waived.

16. CARE, SIZING, REPAIRS, AND NORMAL WEAR

Jewelry and watches require appropriate care.

Normal wear, accidental damage, impact, chemical exposure, improper storage, unauthorized repair, water damage, lost stones, broken chains, bent settings, or misuse may not qualify as a manufacturing defect.

Sizing, maintenance, repair, refinishing, stone tightening, watch service, and other after-sale work may require separate evaluation and charges.

Any warranty or service commitment must be stated in writing. Manufacturer warranties, laboratory guarantees, insurance policies, and third-party service plans are governed by their own terms.

17. ACCOUNTS AND WEBSITE CHECKOUT

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

We may suspend or close accounts associated with fraud, abuse, unlawful conduct, security threats, payment disputes, or material violations of these Terms.

Website checkout is available only for eligible online merchandise. The appearance of a product on the website does not guarantee that it qualifies for standard checkout or a particular payment method.

18. PHOTOGRAPHY AND PORTFOLIO USE

Unless a confidentiality arrangement is agreed to in writing before production, we may photograph completed work for internal records, craftsmanship documentation, portfolio display, social media, advertising, or other business purposes.

We will not intentionally identify you publicly in connection with a project without permission, except where information has already been made public by you or where disclosure is required by law.

If your project requires confidentiality, please notify us before approving production.

19. REVIEWS, FEEDBACK, AND SUBMISSIONS

If you submit a review, testimonial, photograph, comment, suggestion, or other feedback, you confirm that the submission is accurate, lawful, and does not violate another party’s rights.

You grant us permission to reproduce, edit for length or clarity, publish, and display that submission in connection with our business, subject to applicable law and our Privacy Policy.

We will not materially change the meaning of a customer review when editing it for presentation.

20. INTELLECTUAL PROPERTY

The website and its content—including text, photographs, videos, graphics, branding, logos, designs, layouts, and original materials—are owned by or licensed to The Speak Easy Co and are protected by applicable intellectual-property laws.

You may not copy, reproduce, distribute, modify, scrape, republish, sell, or commercially exploit website content without prior written permission.

Limited personal use of the website does not transfer ownership of any content or intellectual property.

21. THIRD-PARTY SERVICES AND LINKS

Our website may contain links to or integrations with Shopify, payment processors, shipping carriers, social-media platforms, financing providers, laboratories, manufacturers, or other third parties.

We do not control and are not responsible for the availability, security, accuracy, privacy practices, terms, or content of third-party services. Your use of those services is governed by their respective terms and policies.

22. PRIVACY

Our collection, use, storage, and disclosure of personal information are governed by our Privacy Policy and applicable law.

By using the website or submitting information, you acknowledge that information may be processed by Shopify and other service providers necessary to operate the website, communicate with you, process eligible payments, prevent fraud, fulfill orders, and provide services.

23. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the website and its general content are provided on an “as available” basis.

We do not guarantee that the website will always be uninterrupted, error-free, secure, or free from harmful components.

Product-specific representations, warranties, and commitments apply only when stated in the applicable listing, invoice, purchase agreement, manufacturer warranty, or other written documentation.

Nothing in these Terms excludes warranties or consumer protections that cannot legally be disclaimed.

24. LIMITATION OF LIABILITY

To the fullest extent permitted by law, The Speak Easy Co will not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of the website or a transaction.

Where liability cannot be excluded, our total liability relating to a particular product or service will not exceed the amount you paid to us for the product or service giving rise to the claim, except where a different limitation is prohibited by law.

These limitations do not apply to liability that cannot legally be limited, including liability arising from fraud, willful misconduct, or other non-waivable obligations.

25. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless The Speak Easy Co and its officers, employees, contractors, service providers, and production partners from third-party claims resulting from:

  • Your unlawful use of the website or services

  • Materially false information supplied by you

  • Your violation of these Terms

  • Materials you submit without the required rights or authorization

  • Your infringement of another party’s rights

This obligation does not apply to claims caused solely by our own unlawful conduct.

26. FORCE MAJEURE

We are not responsible for delays or failures caused by events reasonably outside our control, including carrier interruptions, natural disasters, severe weather, government actions, labor disruptions, supplier failures, customs delays, utility outages, cybersecurity incidents, public-health emergencies, or shortages of materials.

We will make reasonable efforts to communicate material delays and determine an appropriate next step.

27. SUSPENSION AND TERMINATION

We may suspend access to the website, decline service, or terminate a transaction when reasonably necessary because of fraud, security concerns, abusive conduct, nonpayment, unlawful activity, or a material violation of these Terms.

Termination does not eliminate payment obligations, final-sale terms, intellectual-property rights, or other provisions intended to survive termination.

28. GOVERNING LAW

These Terms are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-law principles.

Nothing in this section removes any mandatory consumer rights or legal protections that apply in your jurisdiction.

29. SEVERABILITY, WAIVER, AND ENTIRE AGREEMENT

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Our failure to enforce a provision does not waive our right to enforce it later.

These Terms, together with our Privacy Policy, Shipping Policy, Return and Refund Policy, applicable invoices, written approvals, and purchase agreements, form the agreement governing your use of our website and applicable transactions.

30. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in our services, policies, technology, business practices, or legal obligations.

The updated version will be posted on this page with a revised effective date. The version in effect when your transaction is finalized will generally govern that transaction unless a written purchase agreement states otherwise.
